Who we are.
“Scopes Data”, “we”, “us”, “our” means Scopes Data (ABN 74 767 825 710), Australia.
What these cover.
These Customer Terms govern your organisation’s use of the Scopes Data Platform (fleet & mobility SaaS). If you have a signed order or separate master agreement with us, that document governs to the extent of any conflict.
Users.
Your employees/contractors who access the Platform (“Authorized Users”) must accept and follow our User Terms. You control who has access and their permissions.
1) Access & Accounts
- You need a Customer Account (self-service or provisioned by us).
- You are responsible for managing users, permissions, and secure credentials.
- You control what Customer Data is visible/editable to whom via in-product settings.
2) Plans, Fees, Payments
- Free Plan: basic features; we may change or discontinue at any time.
- Paid Plans (Subscriptions): start on the Subscription Start Date; auto-renew for the same term unless you give notice before the renewal cut-off (monthly plans: 7 days; other terms: 60 days).
- Fees: payable in advance; non-cancelable and (unless we say otherwise) non-refundable. Taxes/GST may apply.
- Non-payment: after notice (≥10 days), we may suspend/downgrade until paid.
3) Services & Availability
- We operate the Platform with reasonable care and skill; functionality evolves over time.
- Provided “as is/available”; we may schedule maintenance or emergency work.
- If a plan includes uptime commitments, any shortfall is remedied via service credits described in that plan.
4) Customer Data & Privacy
- Ownership: Customer owns Customer Data; we process it on your instructions.
- Your warranties: you have the rights to input/process the Customer Data.
- Privacy: personal information is handled per our Privacy Policy; cookies per our Cookie Policy.
- We may use de-identified/aggregated data for analytics, benchmarking, and improvement.
5) Acceptable Use
You and your users won’t: violate law; introduce malware; attack, probe, or reverse-engineer; disrupt others; infringe IP/privacy; send spam; or try to degrade performance.
6) IP & Confidentiality
- We retain all IP in the Platform and documentation; you get a non-exclusive, non-transferable, revocable right to use during your subscription.
- You retain IP in your materials and Customer Data.
- Each party will protect the other’s Confidential Information; share only on a need-to-know basis.
7) Term, Termination, Data Export
- These Terms apply while you have an active account/subscription.
- Either party may give non-renewal notice per Section 2.
- For cause: either party may terminate for material breach (cure period 30 days) or insolvency.
- On termination: access ends; you’ll pay any amounts due.
- Data export: during the term you can export data. After termination, request export-only access within 15 days; we’ll keep export access open for a reasonable period. We delete remaining Customer Data 30 days after termination (except where law requires retention).
8) Warranties & Liability (Summary)
- Other than what’s stated here, we give no additional warranties; statutory Australian Consumer Law rights are not excluded.
- No liability for indirect/consequential losses (e.g., lost profits, data corruption).
- Cap: our aggregate liability is limited to the fees you paid in the 12 months before the event.
9) Indemnities (Summary)
- We indemnify you for third-party IP claims arising from permitted use of the unmodified Platform (subject to your prompt notice and our control of defence).
- You indemnify us for third-party claims arising from your or your users’ breach of these Terms or the User Terms.
10) Other Terms
- Notices: by email or in-product messages.
- Force majeure: no liability for events beyond reasonable control.
- Assignment: neither party may assign without consent, except to an affiliate or in a corporate transaction.
- Severability/No waiver/Entire agreement: standard boilerplate.
- Changes: we may update these Terms with reasonable notice; continued use = acceptance.
11) Governing Law & Venue
New South Wales, Australia. Courts of NSW and the Commonwealth of Australia.
